1. Introduction

These Terms & Conditions (“Terms”) govern your access to and use of the services provided by CBIP Solutions (“we”, “us”, “our”), operating at cbip-solutions.org. By creating an account, subscribing to a plan, or otherwise using our services, you agree to be bound by these Terms.

CBIP Solutions is a project operated from Spain. If you do not agree to these Terms, you must not use our services.

We may update these Terms from time to time. Material changes will be communicated via email or in-app notification at least 30 days before they take effect. Your continued use of the services after such changes constitutes acceptance of the updated Terms.

2. Definitions

  • “Services” means the SaaS platforms, APIs, dashboards, documentation, and any related tools provided by CBIP Solutions.
  • “Subscriber” or “you” means the individual or legal entity that creates an account and subscribes to a plan.
  • “Paddle” means Paddle.com Market Limited, the Merchant of Record for all payment transactions related to our services.
  • “Subscription” means the recurring billing arrangement through which you access the services under a selected plan.
  • “Content” means any data, text, files, or materials you submit to or access through the services.
  • “Billing Period” means the monthly or annual interval for which subscription fees are charged.

3. Account Registration

To access our services, you must create an account by providing accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You agree to:

  • Provide truthful and accurate registration information.
  • Keep your login credentials secure and not share them with third parties.
  • Notify us immediately at support@cbip-solutions.org if you suspect unauthorised access to your account.
  • Accept responsibility for all actions taken through your account, whether or not authorised by you.

We reserve the right to suspend or terminate accounts that provide false information, violate these Terms, or remain inactive for an extended period, subject to reasonable notice.

4. Services Description

CBIP Solutions provides specialised SaaS platforms that transform complex, fragmented data into structured, actionable intelligence. Our services include, but are not limited to:

  • API access to structured regulatory and business data.
  • Web-based dashboards for data exploration and analysis.
  • Documentation, SDKs, and developer tools.
  • Data export and integration capabilities.

Service features, rate limits, and data access vary by subscription plan. The specific features included in each plan are described on our pricing page and in the plan documentation.

We strive to maintain high availability but do not guarantee uninterrupted access. Scheduled maintenance windows will be communicated in advance when feasible.

5. Subscription and Billing

5.1 Billing Model

Our services are offered on a subscription basis with monthly or annual billing periods. By subscribing, you authorise recurring charges at the applicable rate for your selected plan and billing period.

5.2 Merchant of Record

All payments are processed by Paddle.com Market Limited, which acts as the Merchant of Record for all transactions. Paddle handles payment processing, invoicing, sales tax, and VAT compliance on our behalf. By purchasing a subscription, you also agree to Paddle’s Terms of Use and Privacy Policy.

5.3 Auto-Renewal

Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date. You will be charged the then-current rate for your plan at each renewal. Renewal charges are processed by Paddle using the payment method on file.

5.4 Pricing and Taxes

All prices are displayed exclusive of applicable taxes unless otherwise stated. Paddle calculates and collects VAT, sales tax, or other applicable taxes based on your location. The final amount charged, including taxes, is shown at checkout before you confirm your purchase.

5.5 Failed Payments

If a payment fails, Paddle may retry the charge according to its standard retry schedule. If payment cannot be collected after reasonable retry attempts, your subscription may be suspended or downgraded. We will notify you of payment failures and give you an opportunity to update your payment information before any access restriction takes effect.

6. Price Changes

We reserve the right to modify subscription pricing. Any price increase will be communicated to you at least 30 days before it takes effect. The new pricing will apply from your next billing period after the notice period expires.

If you do not agree with a price change, you may cancel your subscription before the new pricing takes effect. Cancellation in response to a price change does not affect your right to use the services until the end of your current, already-paid billing period.

7. Money-Back Guarantee

We offer a 30-day money-back guarantee on all new subscriptions. If you are not satisfied with our services for any reason, you may request a full refund within 30 days of your initial subscription purchase.

To request a refund:

  1. Contact us at support@cbip-solutions.org within 30 days of your initial purchase date.
  2. Include your account email and the reason for your refund request.
  3. We will process the refund through Paddle within 10 business days.

The money-back guarantee applies only to the first subscription purchase per customer. It does not apply to subscription renewals, plan upgrades, or additional purchases. Refunds are processed to the original payment method used at checkout.

8. Cancellation

8.1 How to Cancel

You may cancel your subscription at any time through your account settings or by contacting us at support@cbip-solutions.org. Cancellation takes effect at the end of the current billing period. No partial refunds are issued for unused time within a billing period, except under the 30-day money-back guarantee described in Section 7.

8.2 Access After Cancellation

After cancellation, you retain full access to the services until the end of your current billing period. Once the billing period expires, your account will be downgraded and access to paid features will be revoked.

8.3 Reactivation

You may reactivate a cancelled subscription at any time by selecting a new plan and completing the checkout process through Paddle.

9. Data Rights and Portability

9.1 Your Data

You retain all rights to the data you submit to the services. We do not claim ownership of your content. We use your data only to provide and improve the services as described in our Privacy Policy.

9.2 Data Export

In compliance with the EU Data Act (Regulation (EU) 2023/2854), you have the right to export your data at any time during your subscription. We provide export functionality in standard, machine-readable formats (such as JSON and CSV) through the services or upon request.

9.3 Post-Termination Data Access

After your subscription ends (whether by cancellation, expiration, or termination), you will have a 30-day grace period during which you may request an export of your data. We will provide the export in a standard, machine-readable format at no additional cost. After this 30-day period, we reserve the right to delete your data in accordance with our data retention policies.

9.4 No Vendor Lock-In

We are committed to data portability. We will not impose unreasonable technical barriers, contractual restrictions, or fees that prevent or hinder you from switching to an alternative service provider or exporting your data.

10. Service Continuity and Discontinuation

In the event that we decide to discontinue the services or any material feature thereof, we will provide you with at least 2 months’ notice before the discontinuation takes effect, in accordance with the EU Data Act. During this notice period:

  • Your existing subscription and access remain fully functional.
  • You will have full access to data export facilities.
  • No new subscription charges will be initiated after the announced discontinuation date.
  • We will provide reasonable assistance to facilitate your transition to alternative services.

If we discontinue the services before the end of your paid billing period, you will receive a pro-rata refund for the unused portion of your subscription.

11. Acceptable Use

You agree to use the services in a lawful, responsible manner. You must not:

  • Violate any applicable laws, regulations, or third-party rights.
  • Attempt to gain unauthorised access to the services, other accounts, or related systems or networks.
  • Interfere with or disrupt the integrity or performance of the services, including through denial-of-service attacks, excessive automated requests, or exploitation of vulnerabilities.
  • Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of the services, except as permitted by applicable law.
  • Resell, redistribute, or sublicense access to the services or API data without our prior written consent.
  • Use the services to build a competing product or service.
  • Circumvent or attempt to circumvent rate limits, usage quotas, or other technical restrictions.
  • Submit malicious code, viruses, or harmful data to the services.
  • Use the services for any purpose that is fraudulent, deceptive, or harmful.

We reserve the right to suspend or terminate your access if we reasonably determine that you are in violation of this acceptable use policy, after providing notice and a reasonable opportunity to cure the violation where feasible.

12. Intellectual Property

12.1 Our Intellectual Property

The services, including all software, APIs, documentation, designs, trademarks, logos, and other materials, are the exclusive property of CBIP Solutions or its licensors and are protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable, revocable licence to use the services for the duration of your subscription, strictly in accordance with these Terms.

12.2 Your Content

You retain full ownership of any content you submit to the services. By uploading content, you grant us a limited licence to store, process, and display that content solely for the purpose of providing the services to you.

12.3 Feedback

If you provide suggestions, feature requests, or other feedback about the services, you grant us a perpetual, worldwide, royalty-free licence to use that feedback for any purpose, including to improve the services. You are under no obligation to provide feedback.

13. Limitation of Liability

13.1 Service Provided “As Is”

The services are provided on an “as is” and “as available” basis. To the maximum extent permitted by applicable law, we disclaim all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

13.2 Limitation

To the maximum extent permitted by applicable law, CBIP Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, revenue, business opportunities, or goodwill, arising out of or in connection with your use of (or inability to use) the services, regardless of the theory of liability.

Our total aggregate liability for all claims arising out of or relating to these Terms or the services shall not exceed the total amount you have paid to us (through Paddle) in the 12 months preceding the claim.

13.3 Data Accuracy

While we strive for accuracy and completeness in the data we provide, we do not warrant that the data accessed through the services is error-free, complete, or up-to-date. You are responsible for independently verifying any data before making decisions based on it. The services are not a substitute for professional legal, financial, or regulatory advice.

13.4 Exceptions

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.

14. Indemnification

You agree to indemnify, defend, and hold harmless CBIP Solutions, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or related to:

  • Your violation of these Terms.
  • Your use of the services in a manner not authorised by these Terms.
  • Your violation of any applicable law or regulation.
  • Any content you submit to the services that infringes third-party rights.

15. Governing Law and Dispute Resolution

15.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Spain, without regard to its conflict of law provisions. Where applicable, mandatory provisions of European Union law shall apply, including the EU Data Act (Regulation (EU) 2023/2854) and the General Data Protection Regulation (Regulation (EU) 2016/679).

15.2 Dispute Resolution

In the event of a dispute arising out of or in connection with these Terms, the parties agree to first attempt to resolve the dispute through good-faith negotiation. If the dispute cannot be resolved within 30 days of written notice, either party may submit the dispute to the competent courts of Spain.

15.3 Consumer Rights

If you are a consumer within the European Union, nothing in these Terms shall affect your mandatory statutory rights under applicable EU consumer protection law. You may also have the right to submit disputes to the European Commission’s Online Dispute Resolution platform.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and CBIP Solutions regarding the use of the services and supersede all prior agreements and understandings.

16.2 Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.

16.3 Waiver

Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of that right or provision. Any waiver must be in writing and signed by an authorised representative of CBIP Solutions.

16.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets, provided the assignee agrees to honour the terms of your existing subscription.

16.5 Force Majeure

Neither party shall be liable for any failure or delay in performing its obligations where such failure or delay arises from circumstances beyond the reasonable control of that party, including but not limited to natural disasters, government actions, war, terrorism, pandemic, power failure, internet outages, or failures of third-party service providers.

16.6 Notices

Notices to you will be sent to the email address associated with your account. Notices to us should be sent to legal@cbip-solutions.org. All notices are deemed received upon sending if delivered electronically.
